End User License Agreement

This End User License Agreement (the "EULA") is a contract between you and Cognifer Labs LLC, an Arizona limited liability company ("Cognifer Labs", "we", "us", or "our"), trading as Avorio. It governs the licence we grant you to download, install, and use the Avorio applications for macOS, iOS, and Android (the "Licensed Application").
This EULA covers the software licence only. Your broader use of Avorio — accounts, subscriptions, billing, your content, AI features, and disputes — is governed by our Terms of Service and Privacy Policy, both of which are incorporated into this EULA by reference and control the commercial relationship between us. Where the Terms of Service and this EULA address the same subject, the Terms of Service govern, except for the platform-specific provisions in section 13, which control for app-store distribution. By downloading, installing, or using the Licensed Application, you agree to this EULA.
1. This agreement is with us, not the app store
This EULA is concluded between you and Cognifer Labs alone, and not with Apple Inc., Google LLC, or any other app-store operator. Cognifer Labs — not the app store — is solely responsible for the Licensed Application and its content. The app-store operator has no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application.
2. Scope of the licence
Subject to this EULA and to the Terms of Service, Cognifer Labs grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Licensed Application for your personal, non-commercial study and learning.
Where you obtained the Licensed Application from the Apple App Store, the licence is further limited to use on any Apple-branded products that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where enabled. Where you obtained it from Google Play, the licence is subject to the Google Play Terms of Service.
3. Things you may not do
You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application. You may not copy (except as permitted by this licence and the applicable Usage Rules), decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part of it, except to the extent that such restriction is prohibited by applicable law. These restrictions sit alongside the broader use restrictions in section 7 of the Terms of Service and our Acceptable Use Policy.
4. Maintenance and support
Cognifer Labs is solely responsible for providing any maintenance and support services for the Licensed Application, as we describe in the Licensed Application or as required by applicable law. You can reach us for support at contactdharsan@gmail.com. As stated in section 1, the app-store operator has no obligation to furnish any maintenance or support services.
5. Warranty
The Licensed Application is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, as further described in section 15 of the Terms of Service.
For Licensed Applications obtained through the Apple App Store: in the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for the Licensed Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty will be the sole responsibility of Cognifer Labs.
6. Product claims
Cognifer Labs, not the app-store operator, is responsible for addressing any claims relating to the Licensed Application or your possession and/or use of it, including but not limited to: (a) product liability claims; (b) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation. This EULA does not limit Cognifer Labs's liability to you beyond what applicable law permits.
7. Intellectual-property claims
In the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party's intellectual-property rights, Cognifer Labs — not the app-store operator — will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
8. Legal compliance
You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist-supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties (including, without limitation, the U.S. Treasury OFAC Specially Designated Nationals list). This mirrors the eligibility requirements in section 2 of the Terms of Service.
9. Eligibility
You must be at least 13 years old to use the Licensed Application. If you are between 13 and the age of majority in your jurisdiction (typically 18), you may use it only with the consent and supervision of a parent or legal guardian who agrees to this EULA and to the Terms of Service on your behalf.
10. Third-party terms
You must comply with any applicable third-party terms of agreement when using the Licensed Application — for example, your wireless data service agreement, and the terms of the AI providers and other services described in section 12 of the Terms of Service.
11. Governing law and disputes
This EULA is governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws principles, and disputes are resolved as set out in section 18 of the Terms of Service (binding individual arbitration administered by the American Arbitration Association, seated in Arizona, with a small-claims carve-out and a class-action waiver). Nothing in this section limits any rights the app-store operator may have as a third-party beneficiary under section 12.
12. App-store operators as third-party beneficiaries
You acknowledge and agree that, where you obtained the Licensed Application from the Apple App Store, Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.
13. Apple App Store — additional terms
The following consolidates the provisions that apply specifically when you download the Licensed Application from the Apple App Store. They supplement — and, for that distribution channel, take precedence over — the rest of this EULA:
- This EULA is between you and Cognifer Labs only, not Apple (section 1).
- The licence is limited to use on Apple-branded products you own or control, per the App Store Usage Rules (section 2).
- Apple has no obligation to provide maintenance or support (section 4).
- On a warranty failure, Apple's only obligation is to refund the purchase price, if any (section 5).
- Cognifer Labs, not Apple, is responsible for product claims (section 6) and intellectual-property claims (section 7).
- You make the legal-compliance representations in section 8.
- Apple and its subsidiaries are third-party beneficiaries who may enforce this EULA against you (section 12).
For Licensed Applications obtained from Google Play, the Google Play Terms of Service apply in addition to this EULA. Google is not a party to this EULA.
