Terms of Service

Avorio is a native flashcard app built and operated by Cognifer Labs, an Arizona limited liability company ("Cognifer Labs", "we", "us", or "our"), trading as Avorio. These Terms of Service (the "Terms") govern your access to and use of the Avorio mobile and desktop applications, the avorio.ai website, and any related services we provide (collectively, the "Service"). Please read them carefully — by using Avorio you agree to be bound by them.
1. Acceptance of these Terms
By downloading, installing, signing into, or otherwise using Avorio, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date at the top of this page. For material changes we'll also notify you by email and via an in-app banner. Continuing to use the Service after a change takes effect means you accept the updated Terms.
2. Eligibility
You must be at least 13 years old to use Avorio. If you are between 13 and the age of majority in your jurisdiction (typically 18), you may only use the Service with the consent and supervision of a parent or legal guardian who also agrees to these Terms on your behalf.
You may not use the Service if you are a person with whom we are prohibited from doing business under U.S. or other applicable sanctions or export-control laws (including, without limitation, parties identified on the U.S. Treasury OFAC Specially Designated Nationals list), or if you reside in a jurisdiction subject to a comprehensive U.S. embargo.
3. Your account
To use most of Avorio you need to create an account. You agree to provide accurate information when signing up, to keep your password confidential, and to take reasonable steps to protect your account (such as enabling two-factor authentication where supported).
You are responsible for everything that happens under your account. If you suspect unauthorized access — a stolen device, a leaked password, anything unusual in your activity — tell us right away at contactdharsan@gmail.com so we can help secure it.
4. Subscriptions and billing
Avorio offers paid subscription plans, each tied to a specific AI model and billed monthly. Subscriptions renew automatically at the end of each billing period until you cancel.
Buying through the apps (Apple / Google)
When you subscribe inside the iOS or Android app, the purchase is handled by Apple or Google under their billing terms. To cancel, change, or request a refund for an in-app subscription, use Apple Subscriptions (Settings → your Apple ID → Subscriptions) or Google Play Subscriptions (Play Store → Profile → Payments & subscriptions). Once Apple or Google has processed your payment, the refund path runs through them, not through us.
Buying on the web (Stripe)
Subscriptions purchased on avorio.ai are processed by Stripe. To cancel, email us at contactdharsan@gmail.com from your account email; we process the cancellation within two business days. Cancellation stops the next renewal, and your current paid period remains active until it ends. We don't prorate unused time on monthly plans.
Token top-ups (one-time purchases)
Token top-ups are consumable one-time purchases. Because they are delivered to your account instantly and are immediately usable, they are non-refundable once delivered, except where required by law.
Pricing changes
We may change the price of a subscription with at least 30 days' noticeby email. The new price will apply on your next renewal cycle. If you don't want the new price, you can cancel before that renewal.
5. Free trials
From time to time we offer free trials. Unless you cancel before the trial ends, the trial automatically converts to a paid subscription at the listed price. On iOS and Android, Apple and Google show the trial expiry date inside their respective Subscriptions settings; we also surface it inside the app and send email reminders before the conversion. Only one trial per user per plan, unless we say otherwise.
6. AI tokens: quotas, rollover, and overage
Every paid plan includes a base allowance of 2 million tokens per month for AI features (card generation, explanations, chat).
Rollover. Unused base tokens roll over to the next billing month. The rollover pool is capped at 100% of your base quota, so the maximum balance you can carry is 4 million tokens (2M current month + 2M rolled over). Anything above the cap is discarded at renewal.
Top-ups.Top-up credit is persistent: it does not expire and is not reset at the billing-month boundary. It carries over and is drawn down only once your usage passes your plan's included monthly AI allowance.
Estimation. Token counts are approximate. We estimate usage using the industry-standard characters-per-four heuristic before sending a request; the actual provider-reported count can differ slightly. Minor variance is normal and is not a defect.
Hard cap. If you exhaust your base quota, rollover, and any top-ups, AI features pause until the next billing cycle or until you purchase a top-up. We never auto-charge you for overage — you stay in control.
7. Your licence to use Avorio
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal study and learning. You may not resell, sublicense, rent, or commercially exploit the Service; reverse-engineer, decompile, or disassemble the apps except where applicable law expressly permits; or scrape, harvest, or automate access to our APIs outside the interfaces we publish.
8. Your content
You own the decks, cards, notes, and other study material you create in Avorio ("Your Content"). We don't claim any intellectual-property rights in Your Content.
To run the Service we need a narrow technical licence from you. By using Avorio you grant Cognifer Labs a worldwide, royalty-free, non-exclusive licence to host, store, copy, transmit, process, back up, and display Your Content solely so we can provide the Service to you and to anyone you choose to share a deck with. This licence ends when you delete the content or close your account, except for residual copies in routine backups that age out on our normal retention schedule.
9. AI-generated content
Avorio uses large language models from third-party providers to generate cards, explanations, and chat responses. AI outputs are provided as-is. We do not guarantee that they are accurate, complete, current, or appropriate for your purpose. AI can produce content that is incorrect, biased, outdated, or fabricated ("hallucinated").
You are responsible for verifying any AI output before relying on it for studies, exams, professional work, or any decision that matters. Treat AI output as a starting point, not a citation.
10. Acceptable use
Your use of Avorio is governed by our Acceptable Use Policy. In short: no illegal content, no content designed to harm or harass others, no scraping or automated abuse of our APIs, and no attempts to jailbreak, manipulate, or abuse the AI models (including prompts intended to extract harmful, infringing, or otherwise disallowed content).
11. Shared decks
Avorio lets you share decks with other users. When you share a deck, you grant those users access to the content under the licence described in section 8, and you remain the owner and the party responsible for what's in it. Recipients may study the deck but may not redistribute it outside Avorio without your permission.
If you encounter a shared deck that violates these Terms or our Acceptable Use Policy, report it to contactdharsan@gmail.com. We review reports and take action where appropriate, including removing content and suspending accounts.
12. Third-party services
Avorio relies on third-party services to operate, including Stripe (payments), Supabase (database and storage), Apple and Google (app distribution and in-app purchases), and AI providers including Anthropic, OpenAI, and Googlefor model inference. Your use of features that touch those providers is also subject to their own terms of service. We are not responsible for issues caused solely by a third-party service's outage, change, or discontinuation.
13. Third-party and imported content
Avorio lets you import, download, and study material created by others — including Anki decks (.apkg and .avoriofiles), shared and community decks, files you upload, content produced from sources you provide, and plugins from the plugin marketplace (collectively, "Third-Party Content"). Third-Party Content is not created, owned, reviewed, endorsed, or verified by Cognifer Labs.
We make no representations or warranties about Third-Party Content and are not responsible or liablefor it — including its accuracy, completeness, legality, safety, quality, or whether it infringes anyone's intellectual-property or other rights. You are solely responsible for ensuring you have the right to import, store, and use any content you bring into Avorio, and for evaluating that content before relying on it.
If you believe Third-Party Content available through Avorio infringes your rights, see our Copyright Policy for how to submit a takedown notice. We review reports and remove infringing material where appropriate.
14. Refunds
See our Refund Policy for the full details. In summary: subscriptions purchased through Apple or Google are refunded through Apple or Google directly. Subscriptions purchased on the web through Stripe are generally non-refundable once activated, but we review requests case-by-case and try to be reasonable — email us with your purchase details. EU/UK consumers retain the statutory 14-day right of withdrawal. Token top-ups are non-refundable once delivered, except where required by law.
15. Suspension and termination
You can close your account at any time from Settings → Delete Account. Closing your account ends your right to use the Service and deletes your data on our normal deletion schedule (with limited exceptions described in the Privacy Policy).
We may suspend or terminate your account if you breach these Terms, the Acceptable Use Policy, or applicable law; if your use of the Service creates risk or possible legal exposure for Cognifer Labs; or if your account is unpaid. Where the issue is not serious or imminent, we'll give you reasonable notice and a chance to fix it first.
16. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, error-free, secure, or accurate.
We work hard to keep Avorio reliable, but we don't guarantee any specific level of uptime, freedom from bugs, accuracy of AI outputs, or that the Service will meet your specific needs.
17. Limitation of liability
To the maximum extent permitted by applicable law, Cognifer Labs and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation loss of profits, loss of data, loss of goodwill, or loss of study progress — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of USD $50 or the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim.
Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In that case our liability is limited to the smallest extent permitted by law.
18. Indemnification
You agree to defend, indemnify, and hold harmless Cognifer Labs and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Service; (b) Your Content, including any claim that it infringes a third party's rights; or (c) your violation of these Terms, our Acceptable Use Policy, or any applicable law.
19. Governing law and dispute resolution
These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws principles.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Arizona. Judgment on the award may be entered in any court of competent jurisdiction.
Small-claims carve-out. Either party may bring an individual claim in a small-claims court located in Arizona, instead of arbitration, if the claim qualifies under that court's rules.
Class action waiver. You and Cognifer Labs agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You may opt out of this arbitration and class-waiver provision by emailing contactdharsan@gmail.com within 30 days of the date you first create an account or first make a purchase, whichever is earlier, with the subject line "Arbitration opt-out" and your account email in the body.
20. Changes to these Terms
We'll update the "Last updated" date at the top of this page whenever we change these Terms. For material changes we'll also notify you by email and via an in-app banner before the changes take effect, so you have a chance to review them and decide whether to keep using the Service.
